Dubai First Online Services Terms and Conditions

This Document governs the use of Dubai First Online Services, hereinafter referred to as "Dubai First Online Services" or "Online Services". These services permit customers of Dubai First to perform a number of online functions, which are documented in paragraph E below. Dubai First is a wholly-owned subsidiary of Dubai Financial Group. All the terms and conditions outlined in this document are applicable to customers and accounts from Dubai First. Please read these terms and conditions carefully. By accessing the Dubai First online facilities you agree to be bound by these terms and conditions.

For the purposes of this Document, I, Me, My, and Mine refers to each Customer who applies for Dubai First Online Services. You, Your, Dubai First shall refer to Dubai First (where applicable andor where the context requires such reference) where the Customer has a Credit Card or Loan account accessed through Dubai First Online Services. All references to time of day in this Document refer to UAE Standard Time.

I understand that Dubai First will not share non-public information obtained through online Services with any non-affiliated third party, except as permitted by law.

A. Dubai First Online Service

Dubai First Online Services (the "Services") is a consumer based electronic online service. I understand that I must use a personal computer to access Dubai First Online Services through the Dubai First Web site (www.Dubai First.com).

B. Designation of Account(s)

When I first enroll in Dubai First Online Services, Dubai First will link all of my eligible accounts. I understand that I must be an authorized signer, primary or secondary borrower, or guarantor in order for me to subscribe and use these services. Eligible account types include: Corporate deposits, Credit Cards and select Consumer Loan accounts. If I open an eligible account at a later date, it is automatically added to Dubai First Online Services.

I understand that only Credit Cards can be used for Bill Payment Services.

Information regarding my loan may be displayed for my convenience. I understand that the loan balance shown is not my payoff amount. I can contact Dubai First at 04-5068888 to request a loan payoff amount or to otherwise enquire about my loan.

I understand all other disclosures and agreements concerning my loan accounts, provided to me when I opened my account, are still valid and are an integral part of these Terms and Conditions.

I understand that I will not share my Password or allow anyone to access my account.

C. Technical Requirements

To access Dubai First Online Services via the Dubai First web site, I must have a personal computer, an Internet connection with an Internet Service Provider that allows e-mail attachments up to 1 MB, an electronic mail message (e-mail) address and internet browser software. I understand that the following browser types are supported by Dubai First Online Services :

Microsoft Internet Explorer 6.0
Netscape 7.1 and NS 7.2
Firefox 1.0

While Apple Mac users may access online services, Dubai First does not at any time whether past, present or in future certify or agree that its systems are compatible with Apple Mac.

D. Business Day

For the purposes of this Document, Dubai First business days are Sunday through Thursday, excluding Government holidays. For the purposes of this Document and unless otherwise stated, Dubai First "close of business day" is 3:00 p.m. However, certain transactions, such as bill payments, transfers, and lost or stolen card messages are processed seven days per week.

E. Features Available through Dubai First Online Services

Dubai First Online Services eligible accounts include:

View Credit Card balances and account activity (current and past)
View statement images
Access a Credit Card account to pay bills (Bill Payments)
Receive daily or weekly account notifications and alerts
Perform self-service account maintenance such as re-ordering and past statements, changing online address and phone number information, changing e-mail address, ordering credit cards, and changing Username and Password

Some of the above services may not be available for certain accounts or customers or may be introduced by Dubai First at a later date.

F. Change in Terms

Dubai First may introduce new online service features from time to time. In addition to the above, not all features listed in section E are available for certain accounts or customers. Dubai First may update this Document to notify me of the existence of new services or changes in the terms and conditions of the services at any time. This Document is intended to cover all features offered through Dubai First Online Services. By using any new services offered, I agree to be bound by the rules including but not limited to any changes to the terms and conditions contained in the Document as in effect at that time.

G. General Information about Dubai First Online Services

Accessibility:

I may use Dubai First Online Services virtually any time, day or night, 7 days a week. I understand that Dubai First Online Services may be temporarily unavailable due to record updating, technical maintenance or circumstances that are beyond Dubai Firsts control. To utilize Dubai First Online Services, I will need to enter my Username and Password. I may be required to change my password during my first online session. I may also be challenged with a security question, which I must answer according to what I set up during the enrollment process. I understand that this challenge is an additional security feature to prevent online fraud.

Other Agreements. In addition to these Terms and Conditions, I agree to be bound by and will comply with the requirements of the applicable Account Disclosure Statement, the Security Policy, the Privacy Policy, Dubai First rules and regulations, the rules and regulations of any funds transfer system to which Dubai First belongs, and applicable state laws and regulations. Dubai First agrees to be bound by them also.

H. Notifications Alerts Messages

I can change my notification options from the e-mail sent to me, by contacting Dubai First, or by calling the customer service number. I must have an active, valid e-mail account to use Dubai First Online Services. If my e-mail address changes at any time, I will update my email address on the web site or notify Dubai First immediately.

Dubai First may use the alert feature in Online Services to inform me if conditions I set have been met on my Credit Card account(s). Conditions include such items as low balance, high balance, and rate thresholds. I must provide an e-mail address or addresses for delivery of my alerts. If those e-mail addresses change, I must update them within Dubai First Online Services. Any of the above services may be available now or can be introduced later by Dubai First.

I understand that Dubai First will use reasonable means to deliver my alerts and notifications, but Dubai First will not guarantee the delivery of any alert or notification due to circumstances beyond their control.

I understand that I must log into Dubai First Online Services to view or send messages. I acknowledge that this message feature is the preferred secure method for communicating electronically to Dubai First.

I. Security Measures

Dubai First will use commercially reasonable measures, consistent with industry standards, to maintain a reasonable level of security over the information contained in Dubai First Online Services.

I understand that industry standards are dynamic and constantly developing. By completing enrollment in and using Dubai First Online Services, I acknowledge and understand that there are risks to electronic access to account information and notices, including but not limited to, delay or failure of delivery due to technical difficulties, weather conditions, matters beyond your reasonable control or interception or alteration of such account information and notices by third parties in spite of Dubai First commercially reasonable security measures.

By completing enrollment in and using Dubai First Online Services, I represent that I have considered your security measures and find that your security measures are commercially reasonable. In reaching this conclusion, I have considered the historical and potential future content of my account statement(s), the risks associated with electronic delivery of account statement(s) and your security procedures. If I conclude that your security procedures cease to be commercially reasonable in the future, I must terminate these services immediately in accordance with Paragraph W below.

J. Transaction Procedures

Transfers

I may transfer funds between my eligible card accounts at Dubai First (Transfers). Transfers can occur at one of the following instances and times: Today (Today), at a future date (Future), or on a recurring basis (Recurring). When submitting a Transfer, I will provide a date for the Transfer to occur (the processing date).

The Transfer processing date is the date the funds are withdrawn from my account in order to process the Transfer. I understand that Dubai First will make every effort to process my Transfer (Entry), but if my account becomes overdrawn as a result, I acknowledge that I am responsible for any non-sufficient (NSF) fees Dubai First may impose, as stated in my account disclosure. In the event that there has been any error in such entries posted to the relevant account by Dubai First, I understand that Dubai First is automatically authorized in its sole discretion to process relevant entries or adjustments to effect necessary corrections. I also understand that I will NOT at any time have the right to claim any amounts so posted erroneously and Dubai First holds the right to unilaterally claim the amounts posted in error, either from me or by directly debiting the relevant account accordingly.

Today Transfers are reflected in the available balance of the affected account(s) online upon submission. I cannot cancel Today Transfers once the transfer information has been submitted.

Future. If I designate a Transfer as a Future transaction, I may request that the transaction be processed on a future date that I may designate up to 364 days in advance of the Transfer. I can cancel or change Future transactions until midnight of the day preceding the Transfer processing date.

Recurring. If I designate a Transfer as a Recurring transaction, I will request and Dubai First will use a Transfer processing date that recurs on a specified regular basis (i.e. weekly, biweekly, monthly, etc). I will designate a Start date and can designate an End date. Once I have submitted a Recurring transfer transaction, Dubai First will continue to process the recurring transaction until I cancel it.

Bill Payments

I can enter Payments as one time payments (One-Time) or as recurring transactions (Recurring) whenever this facility is made available by Dubai First. One time payments can be processed the following day. If the Payment cannot be made due to these processing restrictions, the Payment will be processed the next business day.

Payments I make are processed in one of the following ways:

Electronic Transmission. If possible, payments are made by electronic transmission. I understand that funds will be withdrawn from my designated card account on the processing date for electronic payments. These payments are generally received and credited by my payee within two to four (2 to 4) business days. I am responsible for ensuring funds are available on the Payment processing date.

I understand that Dubai First will make every effort to process my Payments. If there are insufficient funds to make Payments, Dubai First may 1) refuse to pay the item or 2) pay the item and thereby overdraw my account. I acknowledge that I am responsible for any non-sufficient (NSF) fees Dubai First may impose, as stated in my account disclosure.

I recognize that it might take 4 or more business days for my payee to receive the Payment and credit my account. Additionally, some payees such as credit cards and loan & mortgage companies use a different address for processing Payments received without the original Payment coupon. As a result, I may need to adjust my Payment processing date and/or payee address to allow for more processing time.

I understand that Dubai First cannot guarantee that a payee will always accept electronic payments and payments to a payee might change from one processing type to the other.

Loan Payments

Loan Payments can occur at one of the following times: Today, at a future date (Future), or on a recurring basis (Recurring) whenever this facility is offered by Dubai First. When submitting a Loan Payment, I will provide a date for the Loan Payment to accrue (the Loan Payment processing date).

Loan payments are processed as transfers from my designated Dubai First Credit Card account to my designated Dubai First loan account. The processing date is the date the funds are withdrawn from my account in order to process the Loan Payment. I must have sufficient funds available in my Credit Card account at the time the Loan Payment is processed or the transaction will fail.

K. Transactions - General Information

Bill Payments

Account Designation and Payees. Bill Payments I make through Dubai First Online Services will be deducted from my designated Credit Card account. Any payee I wish to pay through Dubai First Online Services must be located in the UAE and the Payment must be payable in UAE Dirhams. I am responsible for ensuring that payee information is correct and shall provide the complete information and details in the event of a change in the payees address.

Processing Liability. I must allow sufficient time for Dubai First Online Services to process my request and submit the Bill Payment to the payee. If I do not allow sufficient time, I will assume full responsibility for all late fees, finance charges, or other actions taken or imposed by the payee. If I schedule my Bill Payment with sufficient time, and the Bill Payment was not received by the payee, or was received late, Dubai First may assume responsibility subject to certain limitations.

Dubai First is responsible only for exercising ordinary care in making Payments upon my authorization to the designated payee. Dubai First is not liable in any way for damages I incur if I do not have sufficient available funds in my account to make the Bill Payment on the Payment processing date. Nor is Dubai First responsible if the estimate of time to allow for delivery to the payee is inaccurate or due to delays in mail delivery; changes of merchant address or account number, the failure of any merchant to account correctly for or credit the Bill Payment in a timely manner, or for any other circumstances beyond the control of Dubai First.

Funds Availability. Unless otherwise indicated in these terms and conditions, Transfers are subject to the same terms and conditions outlined in the account disclosures and agreement I received when I opened my Credit Card account(s).

If my account does not have sufficient funds to complete the Transfer on the Transfer processing date, the Transfer may not be completed. If Dubai First, in its sole discretion, makes the Transfer as an accommodation to me; I am responsible for any overdraft that is created.

Payment Processing. I understand that Dubai First reserves the right to apply my Loan Payment in accordance with my Loan Agreement.

L. Electronic Statements

Dubai First Online Services provides me the ability to view current and past statements only in an online session. These eStatements are images of my paper statement.

I understand that at some future time, Dubai First may opt me out of receiving my paper statements. Dubai First will notify me when this is being done.

M. Stopping or Modifying Dubai First Online Services Authorized Payments

If I am unable to cancel or change a Bill Payment, Transfer, Loan Payment or Stop Payment, I may nonetheless be able to cancel or change the transaction by contacting Dubai First by phone at 04-5080000. In order for the cancellation to be effective; however, Dubai First may require that I put my request in writing within 24 hours of my verbal notification.

N. Authorization to Charge Accounts

I am responsible for all Transfers, Bill Payments, Loan Payments that I, or an authorized representative, submit using Dubai First Online Services.

I authorize you to charge my designated Credit Card account(s) for any transactions accomplished or for any fees generated through the use of Dubai First Online Services.

I authorize you to process Bill Payments, Transfers, Loan Payments or according to my instructions whether oral, in writing, or through Dubai First Online Services. I authorize you to initiate any correcting entry in order to correct any mistaken entry. I understand that if a Bill Payment or Transfer request describes the beneficiary inconsistently by name and account number, execution of the request will occur on the basis of the account number even if it identifies a person different from the named beneficiary. My obligation to pay the amount of the Bill Payment, Transfer, or Loan Payment to Dubai First is not excused in such circumstances.

O. Fees

Service Fees. Dubai First reserves the right to change the charges, fees or other terms described the schedule of charges. Dubai First also reserves the option, in its business judgment, to waive, reduce or reverse charges or fees in individual situations. Changes to fees applicable to specific accounts are governed by the applicable terms and conditions.

Monthly Service Fee. Dubai First currently does not charge a fee for Dubai First Online Services. However, Dubai First reserves the right to change this policy at any time as long as I am given sufficient notice as to the new charges.

Transaction Fees. If the Credit Card account from which the Bill Payment, Transfer, or Loan Payment is made incurs per-item fees for excess debit transactions pursuant to the terms of my account disclosures and agreements, a fee may be charged for each Bill Payment, Transfer, or Loan Payment in excess of the specified limit. The transaction fee may not apply to other accounts.

Applicable to All Fees and Charges. If I do not have sufficient available funds in my account on the date the fee or charge is payable, I authorize you to automatically deduct the payment from my card account as soon as funds are available.

P. Changing My Username / Password

If I would like to change my Dubai First Online Services or Password, I can do so by logging into the Dubai First Online Services. I can change Password as often as I like. You may require me to change my online services password the first time I log into Dubai First Online Services.

I agree that Dubai First has no control as to the persons who have access to my personal computer and my Password. Dubai First will not be liable for any unauthorized access to my personal computer using my Password. I agree that it is my responsibility to prevent any unauthorized access to my personal computer or unauthorized use of my passwords.

Q. Limitation of Liability

Unless otherwise required by law or stated otherwise in this Document, I agree that Dubai First is not liable for any loss, damage or injury, whether direct, indirect, special, incidental, or consequential caused (i) by any negligent act of Dubai First, (ii) related in any way to my use of Dubai First Online Services, (iii) arising out of the installation, use or maintenance of the software, (iv) resulting from a failure or delay in the delivery or processing of any Bill Payment, or (v) arising as a result of any defect, virus, or malfunction of my personal computer, software, modem or telephone line.

Notwithstanding any provision to the contrary contained in this Document, Dubai First shall be responsible only for performing the online services as expressly provided for in this Document.

Dubai First shall be liable only for material losses, which are the direct result of Dubai Firsts own gross negligence or intentional misconduct in performing these online services. Dubai First shall have no liability for failure to perform any online services or for any disruption or delay in performing online services in the event such failure, disruption or delay is due to circumstances beyond Dubai Firsts reasonable control, including, but not limited to, failure or disruption of electric power, computer equipment, telecommunications systems, my Internet Service Provider, or weather conditions. Dubai First shall have no liability for any consequential, special, incidental, punitive or indirect damages or loss under any circumstances.

I agree to unconditionally and irrevocably indemnify (to the fullest extent permitted by law) and hold Dubai First and its directors, officers, employees, shareholders, and agents harmless from all claims, demands, actions, suits, damages judgments, and expenses including legal fees incurred by Dubai First in the course of securing its rights under these terms and conditions) arising out of or in any way connected with the performance of these online services. I agree that this indemnification shall survive the termination of these Terms and Conditions.

R. Liability for Failure to Make Payments or Transfers

Dubai First shall not be liable in case of the following:

Through no fault of yours, my account does not contain sufficient available funds to make the Bill Payment, Loan Payment or Transfer.

The equipment, network, phone lines or computer systems were temporarily unavailable due to circumstances beyond Dubai Firsts control. Circumstances beyond your scope of control (natural calamities), such as fire or flood, prevented the Bill Payment, Loan Payment or Transfer despite reasonable precautions that you have taken.

A court order or legal process or regulatory guidelines prevent you from making a Transfer, Loan Payment or Bill Payment. I have previously reported my password lost or stolen, or you have a reasonable basis for believing that unauthorized use of my password has occurred or may be occurring. The payee does not process a Bill Payment correctly or in a timely manner. I default under any agreement with you or if you or I terminate my access to Online Services.

In no event shall Dubai First be liable for damages in excess of my actual loss due to its failure to complete a Bill Payment, Loan Payment or Transfer and Dubai First is not liable for any incidental or consequential damages.

S. Disclaimer of Warranty

Dubai First makes no warranties of any kind with respect to any software programs I use to access any online services, and Dubai First does not warrant that the software program or statements services will meet my specific requirements. You make no warranties of any kind, whether express or implied, to the maximum extent permitted by law with respect to the use and adequacy of the software programs or the online services you provide under these Terms and Conditions. You disclaim any and all implied warranties, including, but not limited to, the implied warranties of merchantability and fitness for a particular purpose.

T. Other Conditions

Terminate Services. Dubai First reserves the right to terminate my access to Dubai First Online Services privileges, in whole or in part, at any time for any reason.

If all accounts which I access through Dubai First Online Services are closed, the Online Services will terminate. If, for any reason, I decide to cancel Dubai First Online Services, Dubai First strongly suggests that I cancel all future Bill Payments, Loan Payments or Transfers before canceling my service, either by deleting the payments myself or by contacting Dubai First. This ensures that all future payments and transfers will not be duplicated. Dubai First will continue to maintain my accounts until I notify them otherwise.

U. Assignment

Dubai First may assign this Document to its parent corporation or to any now-existing or future direct or indirect subsidiary of the parent corporation. Dubai First may also assign or delegate certain of its rights and responsibilities under this Document to independent contractors, other third parties, or to anyone Dubai First may merge with or be bought by.

V. Governing Law/Jurisdiction/Severability

This Document shall be governed by and shall be interpreted in accordance with the Law of the UAE. All disputes, claims and contentions shall be settled purely by the application of UAE law provided however that Online Services/ facilities may be accessed from countries situated outside the UAE.
